Client Intellectual Property

You retain ownership of your data, content, and any intellectual property you provide. Custom developments created specifically for you will be owned by you upon full payment, unless otherwise agreed in writing.

Third-Party Components

Our solutions may incorporate third-party libraries and components subject to their respective licenses. We will identify and document such components as part of project deliverables.

5. Payment Terms

• Fees are due according to the payment schedule outlined in your project agreement
• Late payments may incur additional charges
• All prices are in USD unless otherwise specified
• Refunds are subject to the terms in your specific service agreement
• You are responsible for any applicable taxes

6. Service Level Agreements

9. Indemnification

Either party may terminate the service relationship with written notice. Upon termination:

• Outstanding fees become immediately due

Neither party will be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, acts of government, or other force majeure events.

12. Dispute Resolution

Any disputes arising under these Terms will be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration if mediation is unsuccessful

These Terms are governed by the laws of California, USA.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or through our website. Continued use of our services after modifications constitutes acceptance of the updated Terms.

14. Severability
